Terms of service
Last updated: October 8, 2026
This is a translation provided for convenience. In the event of any discrepancy, the Spanish version of this document prevails.
1. Purpose and acceptance
These general terms and conditions govern the provision of services by Origin Intelligence & Technology, S.L. (Tax ID B93822245), with its registered office at Paseo de la Castellana 200, 28046 Madrid (hereinafter, "Origin"), as well as the use of this website. Accessing the site and requesting services imply acceptance of these terms.
2. Services and scope
Origin designs and implements applied intelligence systems. The specific scope of each project — objectives, deliverables, timelines, price, and particular terms — is defined in a specific proposal accepted in writing by both parties. In the event of any inconsistency, the proposal prevails over these general terms in all matters it expressly governs.
3. Diagnostic requests
Requesting a diagnostic through the site does not create a contractual relationship or a binding offer; it is the start of a conversation to assess whether the service is a fit. Origin reserves the right to decline a request.
4. Client obligations
The client undertakes to provide the information and access necessary for the provision of the service, to designate a point of contact with decision-making authority, and to warrant that the data and materials it provides are lawful, that it holds sufficient title to them, and that their processing by Origin does not infringe the rights of third parties. Delays attributable to the client may affect the agreed timelines.
5. Prices, invoicing, and payment
Prices are set in the applicable proposal and are exclusive of VAT, which will be charged at the prevailing rate. Unless otherwise agreed, invoices are issued in accordance with the milestone schedule in the proposal, and payment is due within thirty (30) days of the invoice date. Late payment will accrue the default interest provided for in Law 3/2004, of December 29, on combating late payment in commercial transactions, and will entitle Origin to suspend the provision of the service upon notice to the client.
6. Intellectual and industrial property
Origin retains at all times exclusive ownership of its methodology, architectures, models, software components, tools, know-how, and any other element that is pre-existing or developed for general use, regardless of whether it has been used in the performance of a specific project (hereinafter, the "Pre-Existing Materials").
Once the price has been paid in full, the client acquires a right to use the specific deliverables prepared for it — reports, dashboards, configurations, and documentation — on a non-exclusive, non-transferable basis, limited to its internal purposes, unless the proposal provides otherwise. This grant does not in any case extend to the Pre-Existing Materials, for which the client receives only a license to use them to the extent necessary to make use of the deliverable.
The client may not reverse engineer, decompile, replicate, or transfer to third parties the Pre-Existing Materials or the systems developed by Origin.
The contents of this site (text, structure, trademarks, and design) are owned by Origin or by third parties who have authorized their use.
7. Confidentiality
Both parties undertake to treat as confidential the information they access in the course of a diagnostic or project, not to disclose it to third parties without written authorization, and to use it exclusively for the purpose of the engagement. This obligation remains in force for three (3) years from the end of the relationship. Information that is in the public domain, that the receiving party already lawfully knew, or whose disclosure is required by law or by an order of a competent authority is excluded.
Unless the client expressly objects, Origin may mention the existence of the collaboration for commercial reference purposes, without disclosing confidential information.
8. Data protection
The processing of personal data arising from the use of this site is governed by the Privacy Policy. Where the provision of the service involves the processing of personal data on behalf of the client, the parties will enter into the corresponding data processing agreement pursuant to Article 28 of Regulation (EU) 2016/679 (GDPR), which will set out the subject matter, duration, nature, and purpose of the processing, as well as the applicable security measures.
9. Nature of the service and warranties
The applied intelligence systems that Origin develops produce indicators, readings, and signals intended to support decision-making. They do not replace the client's professional judgment, nor do they constitute legal, financial, medical, or any other form of regulated advice.
Origin provides its services with the diligence of a professional in the sector and undertakes to remedy any deficiencies in the deliverables notified to it in writing within thirty (30) days of delivery. Origin does not guarantee any specific economic, commercial, or reputational results, which depend on factors beyond its control and on the decisions made by the client.
10. Limitation of liability
Origin's total liability to the client on any ground arising from a project shall be limited to the amount actually invoiced and collected for that project in the twelve (12) months preceding the event giving rise to the claim.
Origin shall not be liable for loss of profits, loss of business, loss of data or opportunities, or for indirect or consequential damages.
These limitations shall not apply in cases of willful misconduct or gross negligence, or where applicable law does not permit liability to be limited.
11. Term and termination
The relationship continues for the term set out in the proposal. Either party may terminate it by written notice given thirty (30) days in advance, without prejudice to the client's obligation to pay for work actually performed up to the effective date. Immediate termination is also available in the event of a material breach not remedied within fifteen (15) days of notice thereof.
12. Subcontracting
Origin may rely on collaborators or providers for the provision of the service, remaining liable to the client for their performance and ensuring that they are bound by confidentiality obligations equivalent to those set out in these terms.
13. Force majeure
Neither party shall be liable for failure to perform its obligations where such failure is due to force majeure or unforeseeable circumstances, including widespread outages of telecommunications services or cloud infrastructure providers.
14. Amendments
Origin may update these terms. The version in force is the one published on this site. Amendments will not affect projects in progress, which will be governed by the version accepted at the time of contracting.
15. Severability
If any clause is declared null or unenforceable, the remainder shall retain full validity, and the affected clause shall be interpreted in the sense closest to the intention of the parties.
16. Governing law and jurisdiction
These terms are governed by Spanish law. For the resolution of any dispute, the parties submit to the courts and tribunals of the city of Madrid, expressly waiving any other forum, unless consumer protection legislation or any other mandatory rule provides for a different forum.
